Registration of a new company is a complex task and requires knowledge of numerous nuances. If you want to open your own business correctly and in the shortest possible time, then this task should be entrusted to the law firm ProYuristBy, which will register your business.
Before you register a business, you need to decide on the form of doing business. If you want to open (register) an IP, then we recommend that you read the article "How to open (register) an IP in the Republic of Belarus", and if an organization, then you need to decide on the form of ownership:
- general or limited partnership (PT or CT);
- open or closed joint stock company (JSC or CJSC);
- limited liability company (LLC);
- additional liability company (ALC);
- unitary enterprise (UP);
- peasant farming (KFH);
- production cooperatives (PC).
Whether your registered organization will be able to achieve all the goals that you set for it depends on the right form of ownership.
After you decide on the form of ownership, you, as the future owner of a registered business, must first agree on the name of your organization with the registration authority.
Name matching can be done in three ways:
- by personal appeal to the registration authority;
- by sending a package of documents by mail (on paper) to the registration authority;
- online using the web portal of the registration authority
To agree on the name, it is necessary to fill out an appropriate application and send it to the registration authority.
In addition to agreeing on the name, it is necessary to determine the legal address of the organization, as well as prepare on paper a decision to create an organization, prepare the Charter of the organization (memorandum of association - for a commercial organization operating only on the basis of a memorandum of association). All of the above documents must be submitted to the registration authority.In the application for approval of the name, it is better to indicate three potential options for the name of your company that you like, so there is a greater chance that the name you have chosen will eventually be approved for you.
After you have agreed on the name of the organization, decided on the legal address of the organization (we suggest that you read our article “Legal address. The main issues that arise when changing the legal address”), and also prepared a decision on the creation of the organization and the Charter (or memorandum of association), you can go to the registration authority to submit documents for the state registration of your company.
In addition to these documents, the registration authority must have a passport and a receipt for payment of the state fee (2 b.v.), in which the purpose of payment must indicate "payment for state registration of the company" and indicate the name of the registration authority. The state duty for state registration can be paid through the ERIP, in which case the payment receipt may not be submitted to the registration authority.
After your company has been registered, you will be issued a certificate of state registration. Within five days, your registered organization will be automatically registered (registered) with the Social Security Fund, the Inspectorate for Taxes and Duties, and Belgosstrakh. You can pick up a document confirming that your organization is registered (registered) with the indicated authorities five days after the registration of your company in the same registration authority where your company was registered.
To open a current account with a bank, on the day of registration of the company, you can contact the bank that best suits all your needs.
